Terms of Service
Effective date: April 14, 2026
Please read these Terms of Service carefully before commissioning any work. They set out the rights and obligations of both parties and apply to all software development and consulting engagements with PixelPulse.
1. Scope of Services
PixelPulse ("Contractor") provides custom software development, AI engineering, frontend architecture, technical consulting, and related professional services ("Services") to clients ("Client") as agreed in individual project scopes, statements of work, or written proposals.
These Terms of Service ("Terms") govern all engagements unless a separate written contract supersedes them. By commissioning Services you confirm that you have read, understood, and accepted these Terms.
2. Project Scope & Change Requests
Each engagement begins with a mutually agreed scope of work. Tasks outside that scope — including new features, integrations, or significant redesigns — constitute a change request and will be quoted separately before work begins.
Minor clarifications that fall within the spirit of the original brief will be absorbed at the Contractor's discretion. Material scope changes that are not agreed in writing before execution are not guaranteed to be delivered.
3. Fees & Payment
Fees are quoted per project and confirmed in writing before work commences. Pricing depends on scope, complexity, delivery timeline, integrations, and support requirements. All fees are quoted exclusive of VAT or applicable taxes, which will be added where required by law.
Invoices are payable within 14 calendar days of the invoice date unless otherwise agreed. Projects may require a deposit (typically 30–50 %) before work begins; the remainder is due upon delivery or at milestones specified in the proposal.
Work may be paused and deliverables withheld pending settlement of overdue invoices. Late payments accrue interest at 1.5 % per month (or the maximum rate permitted by applicable law, whichever is lower).
4. Intellectual Property
Upon receipt of full payment, the Client receives a perpetual, worldwide, non-exclusive licence to use the deliverables. Full ownership transfer ("work for hire") is available and must be agreed in writing before project commencement; it may carry an additional fee.
The Contractor retains ownership of all pre-existing code, libraries, frameworks, tools, and methodologies used in delivering the Services ("Background IP"). Nothing in these Terms transfers Background IP to the Client.
The Contractor may display deliverables in a portfolio unless the Client requests confidentiality in writing before project start.
5. Client Responsibilities
The Client agrees to: provide timely feedback and approvals; supply all necessary access, credentials, assets, and content within agreed timelines; designate a single point of contact with authority to approve decisions.
Delays caused by the Client's failure to supply required materials or approvals may result in timeline adjustments and additional fees. The Contractor is not liable for missed deadlines attributable to Client delays.
6. Delivery Policy
Delivery timelines are estimated per project and confirmed in the proposal, scope of work, or written quote. Delivery dates depend on project complexity, feedback cycles, third-party dependencies, and timely access to required materials.
Services are typically delivered in milestones, staged releases, or agreed handoff phases. A delivery is considered complete when the agreed milestone or final scope has been provided to the Client for review or deployment.
If the Client delays approvals, content, access, or feedback, PixelPulse may adjust the delivery schedule accordingly. Urgent delivery requests, expanded scope, or additional revisions may affect timelines and pricing.
7. Confidentiality
Both parties agree to keep confidential any proprietary, technical, or business information disclosed during the engagement that is marked as confidential or would reasonably be understood to be confidential.
This obligation does not apply to information that is or becomes publicly available through no breach of these Terms, or that is independently developed without reference to confidential information.
8. Warranties & Representations
The Contractor warrants that Services will be performed with reasonable skill and care, and that deliverables will materially conform to the agreed specification for a period of 30 days after final delivery ("Warranty Period"). Defects reported within the Warranty Period will be remediated at no additional charge.
Beyond the Warranty Period, or for defects arising from Client modifications, third-party integrations outside the agreed scope, or misuse, further support is available at standard rates.
Except as stated above, the Services are provided "as is" and the Contractor makes no further warranties, express or implied, including warranties of merchantability or fitness for a particular purpose.
9. Limitation of Liability
To the maximum extent permitted by law, the Contractor's total aggregate liability for any claim arising out of or related to these Terms or the Services shall not exceed the total fees paid by the Client in the 3 months preceding the claim.
In no event shall either party be liable for indirect, incidental, consequential, special, or punitive damages, including lost profits or data loss, even if advised of the possibility of such damages.
10. Refund & Cancellation Policy
Because services are customized and time-based, deposits and payments for work already completed are non-refundable unless PixelPulse agrees otherwise in writing.
The Client may cancel a project before work begins; in that case, any amount paid beyond non-recoverable reservation, discovery, or setup costs will be refunded. Once work has started, refunds are not available for completed milestones, delivered work, or time already committed.
Either party may cancel an active engagement with 14 days' written notice unless a shorter immediate termination right applies under these Terms. Upon cancellation, the Client remains responsible for all work completed, booked, or committed up to the cancellation date, calculated pro-rata or per milestone.
PixelPulse may cancel immediately and retain any deposit if the Client materially breaches these Terms, including non-payment, abusive conduct, or repeated failure to provide required inputs needed to continue delivery.
11. Termination
On termination or cancellation, PixelPulse will stop future work, invoice any outstanding amounts due, and provide any completed deliverables that correspond to paid work unless legally or contractually prevented from doing so.
Sections 4, 6, 7, 8, 9, and 11 survive termination.
12. Independent Contractor
The Contractor operates as an independent contractor. Nothing in these Terms creates an employment, partnership, joint venture, or agency relationship. The Contractor is responsible for their own taxes and insurances.
13. Governing Law
These Terms are governed by the laws of Estonia. Any disputes shall be subject to the exclusive jurisdiction of the courts of Tallinn, Estonia, unless the parties agree to resolve disputes through mediation or arbitration first.
14. Amendments
The Contractor may update these Terms from time to time. Updated Terms will be posted with a revised effective date. Continued use of Services after notice of updated Terms constitutes acceptance.
Individual project agreements signed before an amendment continue to be governed by the Terms in force at signing.
